Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Larp Universe website, applications, marketplace, products, content, and related services (collectively, the "Services") operated by The Rigid Project LLC ("The Rigid Project," "Larp Universe," "we," "our," or "us"). By accessing, browsing, creating an account, purchasing products, selling products, submitting content, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies, guidelines, or rules incorporated by reference. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms include both you and the entity you represent. Your use of the Services is also subject to our Privacy Policy and any additional terms, policies, guidelines, marketplace rules, or feature-specific requirements that may be presented to you from time to time. We reserve the right to modify, suspend, discontinue, or update the Services and these Terms at any time as described elsewhere in these Terms.
Eligibility and Account Requirements
You must be at least 13 years old to access or use the Services. By creating an account or using the Services, you represent and warrant that you meet all applicable eligibility requirements and are legally permitted to use the Services under the laws of your jurisdiction. You may be required to create an account to access certain features of the Services. When creating an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly if you believe your account has been accessed without authorization or if you become aware of any security incident involving your account. You may not create an account using false information, impersonate another person or entity, misrepresent your identity, create accounts on behalf of others without authorization, or otherwise use the Services in a deceptive or fraudulent manner. We reserve the right to verify account information, request additional information, refuse account registration, suspend accounts, terminate accounts, reclaim usernames, or restrict access to the Services where we reasonably believe such action is necessary to protect the Services, comply with legal obligations, enforce these Terms, prevent abuse, or protect users and the public. You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, contractual obligations, and professional requirements that apply to you. The Services are intended for individuals, creators, businesses, entrepreneurs, and organizations seeking to access, create, purchase, sell, commission, or share business-related content, resources, products, services, and ideas through the marketplace and related platform features.
Business Transactions and Age Requirements
Certain features of the Services involve commercial activity, including purchasing products, selling products, offering services, accepting custom work, receiving payments, receiving payouts, entering marketplace transactions, advertising products or services, and otherwise engaging in business-related activities through the platform. To participate in such commercial activities, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, and capable of entering into legally binding agreements. By participating in marketplace transactions or other business-related activities through the Services, you represent and warrant that you satisfy these requirements and that you have the legal authority to enter into and perform any applicable agreements, licenses, purchases, sales, commissions, subscriptions, or other transactions. If you are using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you are authorized to act on behalf of that entity and to bind the entity to these Terms and any applicable transaction-related obligations. We reserve the right to request age verification, identity verification, business verification, tax information, payment information, or other documentation that we reasonably determine is necessary to comply with legal obligations, facilitate marketplace operations, prevent fraud, protect users, enforce these Terms, or maintain the integrity of the Services. We may restrict, suspend, terminate, or limit access to commercial features if we reasonably believe a user does not satisfy applicable age requirements, legal requirements, verification requirements, or other eligibility requirements related to business activities on the platform. Nothing in these Terms creates an obligation for us to verify the age, identity, authority, qualifications, licensing, legality, or business status of any user, seller, buyer, creator, or other participant on the Services.
User Accounts
You are responsible for all activities that occur under your account and for maintaining the security of your account credentials, devices, authentication methods, and related information. You agree not to share your account with others, allow unauthorized access to your account, transfer your account without authorization, circumvent account restrictions, or otherwise compromise the security or integrity of the Services. You may update, modify, or delete certain account information through features made available by the Services. You are responsible for ensuring that your account information remains accurate, current, and complete. You may choose a username, display name, profile picture, biography, and other profile information, subject to applicable laws, these Terms, community guidelines, intellectual property rights, and platform policies. We reserve the right to remove, modify, restrict, or reclaim usernames, profile information, or account identifiers that violate these Terms, infringe the rights of others, create confusion, impersonate others, or otherwise interfere with the operation of the Services. Users may be permitted to maintain public profiles that display information such as usernames, display names, profile pictures, geographic information, marketplace activity, products, reviews, achievements, badges, statistics, and other publicly available information. Users are responsible for the information they choose to make publicly available through their profiles. We reserve the right to suspend, restrict, disable, or terminate accounts at any time where we reasonably believe such action is necessary to protect the Services, comply with legal obligations, prevent fraud or abuse, investigate violations, enforce these Terms, protect users, or maintain platform integrity. Account termination, suspension, deletion, or inactivity may result in the loss of access to content, purchases, subscriptions, messages, marketplace features, account history, or other information associated with the account. We are not responsible for preserving account data beyond any retention periods required by law or described in our policies. We may implement account verification, security reviews, authentication requirements, activity limitations, reputation systems, trust and safety measures, or other controls designed to protect the Services and its users.
Marketplace Services
Larp Universe provides an online marketplace and related platform features that enable users to discover, create, purchase, sell, commission, distribute, promote, and otherwise interact with digital content, resources, services, ideas, tools, and other offerings. The Services act as a platform that facilitates interactions between users. Unless expressly stated otherwise, The Rigid Project LLC is not a party to transactions between buyers, sellers, creators, service providers, customers, or other users of the marketplace. We do not guarantee the availability, quality, legality, safety, usefulness, accuracy, originality, effectiveness, merchantability, fitness for a particular purpose, or success of any product, service, content, creator, seller, buyer, or marketplace participant. Marketplace offerings may include digital products, custom services, consulting, creative work, business resources, educational materials, templates, media, software, marketing assets, and other offerings. The types of offerings available through the marketplace may change at any time. We reserve the right to review, moderate, restrict, remove, feature, promote, demote, suspend, reject, or otherwise manage marketplace content, listings, products, services, creators, and marketplace activities at our sole discretion. We may establish categories, rankings, recommendations, search results, featured placements, promotional opportunities, reputation systems, badges, metrics, analytics, and other marketplace features. The appearance, placement, visibility, ranking, or performance of any marketplace offering is not guaranteed and may change at any time. We do not guarantee that buyers will make purchases, that sellers will generate revenue, that content will achieve any particular results, or that users will obtain any specific business, financial, marketing, commercial, or professional outcome through use of the Services. Users are solely responsible for evaluating marketplace offerings, conducting appropriate due diligence, assessing risks, and determining whether a product, service, creator, seller, buyer, or transaction is suitable for their needs. We reserve the right to modify, suspend, discontinue, limit, or expand any marketplace feature, category, functionality, or service at any time without liability to users.
Digital Products and Services
The Services may allow users to create, publish, distribute, purchase, sell, license, commission, access, download, or otherwise obtain digital products, digital content, creative works, business resources, software, templates, educational materials, marketing assets, media, consulting services, custom services, and other offerings made available through the marketplace. Digital products and services available through the marketplace may be created, owned, licensed, operated, or provided by users, creators, sellers, service providers, The Rigid Project LLC, or other authorized parties. The source, ownership, licensing terms, and availability of such offerings may vary. Unless otherwise expressly stated, purchases made through the Services grant only the rights expressly described in the applicable listing, license, product description, service agreement, or related documentation. Purchasing a product or service does not automatically transfer ownership of intellectual property rights, copyrights, trademarks, patents, trade secrets, or other proprietary rights. Users are responsible for reviewing product descriptions, licensing terms, service terms, usage restrictions, requirements, compatibility information, disclosures, and other information before purchasing, licensing, downloading, using, or relying upon any offering available through the Services. The Services do not guarantee the accuracy, completeness, legality, originality, quality, effectiveness, fitness for a particular purpose, commercial value, compatibility, availability, or performance of any digital product or service offered through the marketplace. Certain offerings may require ongoing access to the Services, third-party services, software, subscriptions, accounts, APIs, platforms, or technologies. We are not responsible for interruptions, changes, discontinuations, or limitations affecting third-party services or technologies that may impact the functionality or availability of marketplace offerings. Users are solely responsible for determining whether a digital product, service, resource, or other offering is suitable for their intended use and for ensuring that their use complies with applicable laws, licenses, agreements, regulations, and professional obligations. We reserve the right to remove, disable, restrict, suspend, review, investigate, or otherwise take action regarding any digital product or service made available through the Services where we reasonably believe such action is necessary to comply with legal obligations, protect users, enforce these Terms, investigate violations, resolve disputes, or maintain the integrity of the marketplace.
Custom Content Orders
The Services may allow users to request, offer, negotiate, purchase, sell, commission, or otherwise participate in custom content, custom services, consulting, creative work, marketing materials, business resources, or other personalized offerings ("Custom Orders"). Custom Orders may involve direct communication between buyers and sellers regarding project requirements, deliverables, timelines, revisions, pricing, licensing terms, usage rights, and other transaction details. The parties involved in a Custom Order are solely responsible for clearly communicating expectations and agreeing upon applicable terms. Unless otherwise expressly stated by the applicable seller or service provider, Custom Orders are provided on an independent contractor basis between the participating users. The Rigid Project LLC is not an employer, employee, agent, representative, partner, joint venturer, contractor, or participant in the relationship between buyers and sellers. We do not guarantee the quality, accuracy, legality, originality, timeliness, completeness, suitability, commercial value, effectiveness, or success of any Custom Order, deliverable, service provider, buyer, or seller. Buyers are responsible for reviewing proposals, deliverables, licensing terms, and completed work before accepting or using Custom Order deliverables. Sellers are responsible for delivering work that is consistent with the representations, requirements, and agreements associated with the Custom Order. Any disputes relating to project scope, revisions, quality, deadlines, intellectual property ownership, licensing rights, payment obligations, performance expectations, communications, or other Custom Order matters are primarily the responsibility of the participating users. We reserve the right, but not the obligation, to investigate, mediate, review, or take action regarding disputes where we determine such action is appropriate. Unless otherwise required by applicable law, completed Custom Orders, delivered work, communications, transaction records, and related marketplace activity may be retained for operational, legal, security, compliance, auditing, fraud prevention, dispute resolution, and business purposes. We reserve the right to restrict, suspend, remove, reject, cancel, investigate, review, or otherwise take action regarding any Custom Order where we reasonably believe such action is necessary to comply with legal obligations, enforce these Terms, protect users, investigate violations, prevent fraud, or maintain the integrity of the Services.
Content Licensing
The Services may facilitate the licensing, distribution, purchase, sale, access, use, and sharing of digital content, resources, creative works, software, templates, media, marketing assets, educational materials, and other intellectual property. Unless otherwise expressly stated, creators, sellers, licensors, and other rights holders retain ownership of their intellectual property and proprietary rights. The purchase, download, access, or use of content through the Services does not automatically transfer ownership of copyrights, trademarks, patents, trade secrets, or other intellectual property rights. The rights granted to a buyer, customer, subscriber, licensee, or user are limited to those expressly described in the applicable product listing, license agreement, content description, custom order agreement, service agreement, or other documentation associated with the offering. Users may not reproduce, redistribute, resell, sublicense, publicly display, publicly perform, modify, reverse engineer, copy, scrape, exploit, or otherwise use content beyond the scope of the applicable license or authorization granted by the rights holder. Creators, sellers, licensors, and users are solely responsible for ensuring that they possess the rights, permissions, licenses, consents, and authority necessary to publish, distribute, license, sell, share, or otherwise make content available through the Services. The Rigid Project LLC does not independently verify ownership, licensing rights, chain of title, authorization, originality, or intellectual property claims relating to content made available through the marketplace. Users are responsible for conducting their own due diligence before purchasing, licensing, using, or relying upon content obtained through the Services. Any licensing terms, restrictions, permissions, commercial use rights, attribution requirements, exclusivity provisions, geographic limitations, duration limitations, or other usage conditions associated with a particular offering shall be governed by the terms specified by the applicable creator, seller, licensor, or rights holder. We reserve the right to remove, restrict, disable, investigate, review, or otherwise take action regarding content that we believe may violate intellectual property rights, licensing obligations, applicable law, these Terms, or the rights of others.
Intellectual Property Rights
The Services, including the Larp Universe platform, website, applications, software, design elements, branding, trademarks, logos, text, graphics, user interfaces, marketplace functionality, databases, compilations, audiovisual content, technology, and other materials provided by The Rigid Project LLC, are owned by or licensed to The Rigid Project LLC and are protected by intellectual property, copyright, trademark, trade secret, and other applicable laws. Except as expressly permitted by these Terms or applicable law, users may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, reverse engineer, decompile, disassemble, scrape, extract, or otherwise exploit any portion of the Services without prior written authorization from the applicable rights holder. Larp Universe, The Rigid Project, and related names, logos, trademarks, service marks, branding elements, and trade dress are the property of The Rigid Project LLC or its licensors. Nothing in these Terms grants any right, title, license, or interest in any trademark, service mark, logo, trade name, or branding element except as expressly authorized. Users retain ownership of intellectual property rights in content they create and submit to the Services, subject to any licenses, permissions, marketplace rights, transaction rights, and other authorizations granted through these Terms, applicable marketplace agreements, product listings, custom orders, or related platform features. By submitting, uploading, publishing, posting, transmitting, displaying, distributing, or otherwise making content available through the Services, you represent and warrant that you own or have obtained all rights, permissions, licenses, and authorizations necessary to make such content available and to grant any rights associated with the content. Nothing in these Terms transfers ownership of intellectual property from The Rigid Project LLC to users or from users to The Rigid Project LLC except as expressly stated in these Terms or another applicable agreement. We reserve the right to investigate, restrict, remove, disable access to, or otherwise take action regarding content, accounts, products, services, or marketplace activity that may infringe intellectual property rights, violate licensing obligations, or otherwise conflict with applicable law or these Terms.
User-Generated Content
The Services may allow users to create, upload, publish, submit, transmit, distribute, display, sell, license, purchase, share, communicate, or otherwise make available content, including posts, comments, reviews, messages, profiles, marketplace listings, product descriptions, media, files, custom deliverables, and other materials ("User-Generated Content"). Users retain ownership of their User-Generated Content, subject to any rights, licenses, permissions, transactions, agreements, or authorizations granted through the Services. By submitting, uploading, publishing, posting, transmitting, displaying, distributing, selling, licensing, or otherwise making User-Generated Content available through the Services, you grant The Rigid Project LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, modify, adapt, format, distribute, transmit, display, perform, analyze, index, promote, and otherwise use such content as reasonably necessary to operate, provide, maintain, improve, secure, market, and administer the Services. This license includes the right to display User-Generated Content within public feeds, creator profiles, marketplace listings, search results, recommendations, promotional materials, social media content, analytics systems, artificial intelligence systems, moderation systems, and other platform features related to the operation and promotion of the Services. You represent and warrant that you own or control all rights necessary to submit the User-Generated Content and to grant the rights described in these Terms. You further represent and warrant that your User-Generated Content does not infringe, misappropriate, violate, or otherwise conflict with the rights of any third party. You are solely responsible for your User-Generated Content and for the consequences of publishing, distributing, licensing, selling, sharing, or otherwise making such content available through the Services. We do not endorse, verify, guarantee, or assume responsibility for User-Generated Content submitted by users. User-Generated Content may be inaccurate, incomplete, misleading, offensive, unlawful, infringing, harmful, or otherwise objectionable. We reserve the right, but not the obligation, to review, moderate, restrict, remove, edit, disable, investigate, archive, preserve, or otherwise take action regarding User-Generated Content at any time and for any reason, including where we believe such action is necessary to enforce these Terms, comply with legal obligations, protect users, investigate violations, prevent abuse, maintain platform integrity, or protect the rights of others. Removal of User-Generated Content from public areas of the Services does not necessarily require immediate deletion from backups, archives, logs, transaction records, security systems, legal records, or other operational systems maintained by the Services.
Prohibited Conduct
You agree not to use the Services to engage in, facilitate, promote, encourage, or participate in any activity that violates these Terms, applicable law, the rights of others, or the integrity of the Services. Without limitation, users may not: • Violate any applicable law, regulation, court order, contractual obligation, or legal requirement. • Create accounts for individuals under the minimum age requirements established by the Services. • Impersonate any person, organization, business, government entity, or other party. • Provide false, misleading, fraudulent, inaccurate, or deceptive information. • Engage in fraud, scams, phishing, identity theft, or other deceptive practices. • Circumvent, disable, interfere with, probe, test, or compromise the security, integrity, performance, or operation of the Services. • Attempt to gain unauthorized access to accounts, systems, databases, networks, infrastructure, data, or other resources. • Distribute malware, viruses, ransomware, spyware, malicious code, or other harmful technologies. • Interfere with, disrupt, overload, damage, or impair the Services or the experience of other users. • Use automated systems, bots, scripts, crawlers, scrapers, or other technologies to access or interact with the Services in an unauthorized manner. • Harvest, collect, extract, purchase, sell, or otherwise obtain personal information of other users without authorization. • Spam, solicit, harass, intimidate, threaten, abuse, stalk, or otherwise harm other users. • Publish, distribute, or promote content that is unlawful, defamatory, fraudulent, infringing, misleading, hateful, discriminatory, or otherwise objectionable. • Dox, expose, disclose, or distribute another person's private, confidential, personal, or identifying information without authorization. • Upload, distribute, sell, license, or otherwise make available content that infringes intellectual property rights or violates licensing obligations. • Manipulate marketplace rankings, reviews, ratings, metrics, engagement systems, reputation systems, analytics, advertising systems, or platform features. • Submit multiple votes, reviews, ratings, accounts, transactions, or interactions for the purpose of manipulating platform activity or outcomes. • Use the Services for money laundering, financial crimes, unlawful commercial activity, or other prohibited business practices. • Attempt to reverse engineer, copy, reproduce, scrape, extract, mirror, or create competing services based upon the Services except as expressly permitted by applicable law. • Use the Services in a manner that could expose The Rigid Project LLC, its users, service providers, partners, or the public to harm, liability, security risks, legal violations, or operational disruption. We reserve the right to determine, in our sole discretion, whether conduct violates these Terms, applicable policies, community standards, legal obligations, or the intended purpose of the Services. Violations may result in warnings, content removal, reduced visibility, feature restrictions, suspension, termination, legal action, reporting to law enforcement, or other actions we deem appropriate under the circumstances.
Marketplace Rules
Users participating in the marketplace must act honestly, lawfully, professionally, and in good faith when creating listings, offering services, purchasing products, submitting custom orders, communicating with other users, and otherwise engaging in marketplace activity. Sellers, creators, and service providers are responsible for ensuring that marketplace listings, product descriptions, pricing information, licensing terms, deliverables, qualifications, representations, and other information are accurate and not misleading. Buyers are responsible for reviewing listings, descriptions, licensing terms, pricing information, seller information, deliverables, and other relevant details before making purchasing decisions or entering transactions. Users may not create misleading listings, misrepresent products or services, artificially inflate sales activity, manipulate marketplace metrics, engage in fake transactions, abuse promotional systems, submit fraudulent reviews, purchase reviews, exchange reviews for compensation without proper disclosure, or otherwise interfere with the integrity of the marketplace. Users may not use the marketplace to distribute unlawful content, infringing content, deceptive content, stolen content, malicious software, spam, unauthorized commercial solicitations, or any other material that violates these Terms, applicable law, or the rights of others. Users are responsible for complying with all applicable laws, regulations, licensing requirements, tax obligations, disclosure requirements, professional obligations, and business requirements associated with their marketplace activities. The Services may provide rankings, recommendations, badges, featured placements, promotional opportunities, trust indicators, analytics, and other marketplace features. These features are provided for informational and operational purposes and do not constitute endorsements, guarantees, certifications, or representations by The Rigid Project LLC. We reserve the right to review, reject, remove, modify, restrict, suspend, demote, promote, feature, investigate, or otherwise take action regarding any marketplace listing, product, service, transaction, communication, review, rating, advertisement, promotion, user, or marketplace activity at our sole discretion. We may establish additional marketplace policies, seller requirements, creator standards, advertising requirements, moderation standards, licensing requirements, content standards, verification requirements, or operational rules from time to time. Such policies may be incorporated into and form part of these Terms.
Payments and Fees
Certain features of the Services may require payment, including purchases, subscriptions, marketplace transactions, custom orders, advertising services, promotional features, premium features, and other paid offerings. Users agree to pay all applicable fees, charges, taxes, commissions, subscription fees, marketplace fees, processing fees, advertising fees, and other amounts associated with their use of paid Services. Payments may be processed by third-party payment providers, including payment processors, app stores, financial institutions, and other authorized providers. By submitting payment information, you authorize the applicable payment provider and The Rigid Project LLC, as applicable, to process transactions and collect amounts owed in connection with your use of the Services. Marketplace transactions may be processed through Stripe Connect or other payment providers. For transactions involving seller payouts, the total amount paid by the purchaser may be allocated among multiple parties, including payment processing providers, The Rigid Project LLC, and the seller. Unless otherwise stated at the time of purchase, marketplace transactions are generally subject to: (i) payment processing fees charged by the applicable payment processor, such as Stripe, (ii) a platform fee retained by The Rigid Project LLC, which is currently 30% of the transaction amount, and (iii) the remaining balance payable to the seller, creator, service provider, or other eligible recipient. Fee calculations may occur before or after applicable taxes, processor fees, adjustments, refunds, chargebacks, reserves, or other deductions, depending on the transaction structure and applicable requirements. The exact fee amounts, deductions, taxes, withholding obligations, currency conversion costs, reserves, adjustments, and payout calculations applicable to a transaction may be disclosed through the Services, payment interface, checkout flow, payout dashboard, transaction receipt, or other transaction-related materials where applicable. Fees, pricing structures, commissions, revenue-sharing arrangements, platform fees, subscription costs, advertising rates, payout structures, and other financial terms may be established, modified, suspended, or discontinued at any time, subject to applicable law and any specific agreements that may apply. Users are responsible for ensuring that payment information is accurate, current, authorized, and valid. Failed payments, chargebacks, payment disputes, reversals, insufficient funds, payment processor restrictions, or other payment-related issues may result in delayed transactions, restricted access, account limitations, suspension, termination, collection efforts, or other actions deemed appropriate by us. Marketplace sellers, creators, service providers, and other participants may be subject to commissions, fees, payout requirements, withholding requirements, reserve requirements, identity verification requirements, tax reporting requirements, verification requirements, minimum payout thresholds, payment processor requirements, or other financial obligations established by the Services, The Rigid Project LLC, or applicable payment providers. We reserve the right to withhold, delay, limit, adjust, reverse, offset, recover, deduct, reserve, or refuse payments, payouts, credits, refunds, promotional benefits, marketplace proceeds, or other financial transactions where we reasonably believe such action is necessary to investigate fraud, resolve disputes, comply with legal obligations, satisfy outstanding obligations, enforce these Terms, protect users, maintain platform integrity, comply with payment processor requirements, or mitigate financial risk. All payments are denominated in the currency presented at the time of the transaction unless otherwise specified. Currency conversion rates, processing fees, taxes, and other charges imposed by third parties may apply and are generally outside of our control. Except where otherwise required by applicable law or expressly stated by us in writing, all fees are non-refundable and non-transferable. Refund eligibility, if any, is governed by these Terms, applicable marketplace policies, applicable product-specific terms, and applicable law.
Taxes
Users are solely responsible for determining, reporting, collecting, remitting, and paying any taxes, duties, levies, fees, assessments, withholding obligations, or other governmental charges that may arise from their use of the Services, marketplace activity, purchases, sales, subscriptions, advertising activity, custom orders, services, content licensing, or other transactions. Buyers may be responsible for paying applicable sales taxes, value-added taxes (VAT), goods and services taxes (GST), use taxes, withholding taxes, import duties, or other charges associated with transactions conducted through the Services. Sellers, creators, service providers, and other marketplace participants are solely responsible for determining their tax obligations, maintaining appropriate records, filing required tax returns, obtaining necessary tax registrations, collecting taxes where required, and complying with all applicable tax laws and reporting requirements. The Services, payment processors, app stores, marketplace operators, financial institutions, or other third parties may collect, calculate, withhold, remit, report, or facilitate tax-related obligations where required by applicable law, contractual obligations, payment provider requirements, or governmental authorities. We may request tax-related information, identification numbers, certifications, documentation, forms, declarations, or other information that we reasonably determine is necessary to comply with legal obligations, payment provider requirements, tax reporting obligations, marketplace operations, fraud prevention measures, or financial compliance requirements. If a payment is reversed, disputed, refunded, charged back, invalidated, or otherwise revoked, we may recover funds, reverse marketplace benefits, revoke access to purchased content, offset future payouts, withhold funds, assess applicable fees, or take other actions reasonably necessary to address the transaction. Seller Responsibilities
Sellers, creators, service providers, licensors, and other users offering products, services, content, licenses, custom work, advertising services, or other marketplace offerings ("Sellers") are solely responsible for their marketplace activities and the offerings they make available through the Services. Sellers are responsible for ensuring that listings, product descriptions, pricing information, licensing terms, deliverables, qualifications, representations, advertisements, promotional materials, and other information associated with their offerings are accurate, complete, lawful, and not misleading. Sellers represent and warrant that they possess all rights, permissions, licenses, consents, authorizations, and legal authority necessary to create, distribute, license, sell, advertise, perform, or otherwise make their offerings available through the Services. Sellers are responsible for complying with all applicable laws, regulations, intellectual property requirements, licensing obligations, advertising requirements, disclosure requirements, tax obligations, professional obligations, contractual obligations, and other legal requirements associated with their marketplace activities. Sellers may not submit fraudulent listings, misrepresent products or services, engage in deceptive business practices, manipulate marketplace systems, artificially inflate sales activity, submit fake reviews, purchase reviews, engage in review exchanges, infringe intellectual property rights, or otherwise misuse the Services. Sellers are responsible for delivering purchased products, services, licenses, subscriptions, custom work, and other offerings in accordance with the representations, requirements, and agreements associated with the applicable transaction. Sellers are solely responsible for maintaining copies of their own content, deliverables, records, communications, licenses, agreements, and business information. We do not guarantee the permanent availability, preservation, or recovery of marketplace content or business records. We reserve the right to review, investigate, verify, restrict, suspend, remove, reject, disable, demote, withhold payments, limit marketplace access, or otherwise take action regarding any Seller, listing, transaction, advertisement, promotion, service, content, or marketplace activity where we reasonably believe such action is necessary to comply with legal obligations, enforce these Terms, prevent fraud, protect users, resolve disputes, maintain marketplace integrity, or protect the Services.
Buyer Responsibilities
Buyers, customers, subscribers, licensees, and other users who purchase, license, commission, subscribe to, access, or otherwise obtain products, services, content, custom work, advertising services, or other offerings through the Services ("Buyers") are solely responsible for their purchasing decisions and marketplace activities. Buyers are responsible for reviewing product descriptions, licensing terms, service terms, pricing information, seller information, qualifications, deliverables, usage restrictions, compatibility requirements, disclosures, and other relevant information before entering into a transaction. Buyers are responsible for ensuring that their intended use of purchased content, services, software, resources, templates, media, marketing materials, custom work, or other offerings complies with applicable laws, licensing restrictions, intellectual property rights, contractual obligations, professional requirements, and any limitations established by the applicable seller or rights holder. Buyers may not use purchased content, products, services, licenses, subscriptions, or marketplace offerings in a manner that violates applicable law, infringes the rights of others, exceeds the scope of the applicable license, circumvents usage restrictions, or otherwise conflicts with these Terms. Buyers are responsible for providing accurate information, maintaining valid payment methods, honoring payment obligations, cooperating in dispute resolution processes, and communicating in good faith with sellers and other marketplace participants. Buyers should independently evaluate marketplace offerings, conduct appropriate due diligence, assess risks, verify claims where necessary, and determine whether a product, service, seller, creator, or marketplace offering is suitable for their needs. The Services do not guarantee the quality, effectiveness, legality, originality, business value, commercial success, or suitability of marketplace offerings. We reserve the right to investigate, restrict, suspend, terminate, reverse transactions, revoke access to content, limit marketplace features, or otherwise take action regarding Buyers where we reasonably believe such action is necessary to comply with legal obligations, enforce these Terms, prevent fraud, resolve disputes, protect users, maintain marketplace integrity, or protect the Services.
Content Moderation
We reserve the right, but not the obligation, to monitor, review, investigate, moderate, restrict, remove, edit, disable access to, archive, preserve, report, or otherwise take action regarding content, accounts, listings, advertisements, communications, transactions, marketplace activity, or other activity on the Services. Content moderation may be performed by human reviewers, automated systems, artificial intelligence systems, trusted service providers, or a combination of these methods. Moderation decisions may be based on these Terms, community standards, marketplace policies, legal requirements, safety considerations, intellectual property concerns, security concerns, fraud prevention measures, operational needs, or other factors we deem relevant. We may remove or restrict content that we believe violates these Terms, applicable law, intellectual property rights, privacy rights, licensing obligations, platform policies, community standards, or the rights, safety, security, or interests of users, third parties, or the Services. We may also take action regarding content that we determine is misleading, deceptive, fraudulent, spam, abusive, harmful, unlawful, infringing, malicious, manipulative, disruptive, or otherwise inconsistent with the intended purpose of the Services. Users may report content, accounts, products, services, communications, transactions, advertisements, or other activity that they believe violates these Terms or applicable policies. Submission of a report does not guarantee that any particular action will be taken. We are not responsible for screening, reviewing, verifying, endorsing, monitoring, or moderating all content or activity on the Services, and we do not guarantee that unlawful, offensive, infringing, misleading, harmful, or otherwise objectionable content will be identified, removed, or prevented from appearing on the platform. Moderation decisions may result in warnings, content removal, reduced visibility, search restrictions, demonetization, feature limitations, account restrictions, suspensions, terminations, referral to law enforcement, legal action, or other actions we determine are appropriate under the circumstances. We reserve the right to make moderation decisions at our sole discretion and are not obligated to provide advance notice, explanations, appeals, or opportunities to cure violations except where required by applicable law.

We reserve the right, but not the obligation, to investigate reported activity, request additional information, preserve records, communicate with affected parties, cooperate with service providers, cooperate with rights holders, cooperate with law enforcement, and take any action we determine is appropriate under the circumstances. Submission of a report does not guarantee that any particular action will be taken, that a response will be provided, that content will be removed, or that an account will be restricted. Moderation, enforcement, and investigative decisions are made at our sole discretion, subject to applicable law. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless The Rigid Project LLC, Larp Universe, its affiliates, owners, officers, directors, employees, contractors, agents, licensors, service providers, partners, successors, and assigns from and against any claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, awards, settlements, penalties, fines, costs, expenses, and reasonable attorneys' fees arising out of or relating to: • Your access to or use of the Services. • Your violation of these Terms or any applicable policy, guideline, or agreement. • Your User-Generated Content, marketplace listings, advertisements, products, services, custom work, communications, or other content submitted through the Services. • Your violation of any applicable law, regulation, legal obligation, court order, or governmental requirement. • Your infringement, misappropriation, or violation of any intellectual property right, privacy right, publicity right, contractual right, or other right of any person or entity. • Any dispute between you and another user, buyer, seller, creator, service provider, advertiser, customer, business partner, or third party. • Your marketplace activities, commercial activities, advertising activities, licensing activities, transactions, purchases, sales, subscriptions, or business operations conducted through the Services. • Fraudulent, deceptive, negligent, unlawful, abusive, or otherwise wrongful conduct by you or by any person acting on your behalf. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such circumstances, you agree to cooperate with our defense of the matter and provide information, records, and assistance reasonably requested by us. You may not settle, compromise, admit liability regarding, or otherwise resolve any claim subject to indemnification without our prior written consent if the resolution would impose obligations, liability, restrictions, admissions, or other consequences upon The Rigid Project LLC or any indemnified party. The indemnification obligations contained in these Terms shall survive suspension, termination, expiration, deletion of an account, discontinuation of the Services, and any other end of the relationship between you and The Rigid Project LLC.
Dispute Resolution
Before initiating formal legal proceedings, you agree to make a good-faith effort to resolve any dispute, claim, controversy, or disagreement arising out of or relating to the Services, these Terms, marketplace activity, transactions, content, accounts, or your relationship with The Rigid Project LLC. If you have a dispute with us, you agree to first contact us using the contact information provided in these Terms and provide a written description of the issue, including any relevant facts, supporting information, and the relief sought. We will make reasonable efforts to review and address the matter. Nothing in this section prevents either party from seeking temporary, preliminary, equitable, injunctive, or other emergency relief where such relief is reasonably necessary to prevent imminent harm, preserve rights, protect intellectual property, maintain security, prevent fraud, or comply with legal obligations. To the maximum extent permitted by applicable law, any dispute shall be resolved on an individual basis and not as part of any class action, collective action, representative action, mass action, or similar proceeding, except where prohibited by applicable law. Users are encouraged to retain records relating to transactions, communications, marketplace activity, payments, licenses, custom orders, advertisements, and other interactions that may be relevant to a dispute. The Rigid Project LLC reserves the right to investigate disputes, preserve records, cooperate with law enforcement, cooperate with courts and governmental authorities, cooperate with payment processors, and take actions reasonably necessary to protect users, enforce these Terms, maintain marketplace integrity, and comply with legal obligations. The procedures described in this section do not limit any rights, remedies, defenses, limitations of liability, disclaimers, or other protections available under these Terms or applicable law.
Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A TRIAL BY JURY. To the maximum extent permitted by applicable law, any dispute, claim, controversy, or disagreement arising out of or relating to the Services, these Terms, marketplace activity, transactions, content, accounts, purchases, sales, subscriptions, advertisements, intellectual property matters, or your relationship with The Rigid Project LLC that cannot be resolved through informal dispute resolution shall be resolved exclusively through final and binding arbitration rather than in court. The arbitration shall be administered by a reputable arbitration provider selected by The Rigid Project LLC, unless otherwise required by applicable law. The arbitration shall be conducted by a single arbitrator and shall be conducted in the English language. The arbitrator shall have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, formation, scope, or validity of this Arbitration Agreement, except where applicable law provides otherwise. The arbitration may be conducted remotely, through written submissions, by telephone, by video conference, or by other procedures permitted by the applicable arbitration provider and applicable law. The arbitrator may award any remedy that would otherwise be available in a court of competent jurisdiction, subject to the limitations, disclaimers, exclusions, and restrictions contained in these Terms and applicable law. Notwithstanding the foregoing, either party may seek temporary, preliminary, equitable, injunctive, or emergency relief in a court of competent jurisdiction where reasonably necessary to protect intellectual property rights, confidential information, platform security, user safety, or other rights requiring immediate protection. If a court or arbitrator determines that this Arbitration Agreement is unenforceable with respect to a particular claim or dispute, the remaining portions of this Arbitration Agreement shall remain in full force and effect to the maximum extent permitted by law. BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE THAT DISPUTES SUBJECT TO THIS ARBITRATION AGREEMENT WILL GENERALLY BE RESOLVED THROUGH ARBITRATION RATHER THAN THROUGH COURT PROCEEDINGS OR JURY TRIALS.
Class Action Waiver
To the maximum extent permitted by applicable law, you and The Rigid Project LLC agree that any dispute, claim, controversy, or proceeding arising out of or relating to the Services, these Terms, marketplace activity, transactions, content, accounts, purchases, sales, subscriptions, advertisements, or your relationship with The Rigid Project LLC shall be brought solely in an individual capacity and not as a plaintiff, claimant, class representative, class member, private attorney general, or participant in any class action, collective action, representative action, mass action, consolidated action, coordinated action, or similar proceeding. To the maximum extent permitted by applicable law, you and The Rigid Project LLC waive any right to participate in, recover through, join, initiate, maintain, or benefit from any class action, collective action, representative action, mass arbitration, or other proceeding in which claims of multiple individuals are combined or asserted on a group basis. Unless both parties expressly agree otherwise in writing, an arbitrator or court may not consolidate claims involving multiple parties, preside over any form of class, collective, representative, coordinated, or mass proceeding, or award relief on behalf of any person or entity other than the individual parties to the dispute. If any portion of this Class Action Waiver is determined to be unenforceable with respect to a particular claim or remedy, that portion shall be severed to the minimum extent necessary, and the remaining portions shall remain in full force and effect to the maximum extent permitted by applicable law. Where applicable law prohibits the enforcement of this Class Action Waiver with respect to a particular claim, such claim shall proceed only to the extent required by applicable law and shall not affect the enforceability of the remaining provisions of these Terms. BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO THIS CLASS ACTION WAIVER TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Governing Law
These Terms and any dispute, claim, controversy, or proceeding arising out of or relating to the Services, these Terms, marketplace activity, transactions, content, accounts, purchases, sales, subscriptions, advertisements, or your relationship with The Rigid Project LLC shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Subject to the Arbitration Agreement and other dispute resolution provisions contained in these Terms, any legal action, proceeding, or matter that is permitted to be brought in court shall be brought exclusively in the state or federal courts located within New York, and you consent to the personal jurisdiction and venue of such courts. You waive any objection based on inconvenient forum, lack of personal jurisdiction, improper venue, or similar grounds to the maximum extent permitted by applicable law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and any similar international conventions is expressly excluded to the extent permitted by applicable law. Nothing in this section limits our ability to seek injunctive relief, equitable relief, emergency relief, enforcement actions, intellectual property protections, debt collection remedies, or other remedies in any jurisdiction where such relief is reasonably necessary to protect our rights, users, business operations, intellectual property, security, or legal interests.
Changes to the Services
We are continually developing, improving, modifying, and evolving the Services. As a result, we reserve the right, at any time and in our sole discretion, to add, remove, modify, suspend, restrict, discontinue, replace, or otherwise change any aspect of the Services. Such changes may include modifications to features, functionality, marketplace categories, products, services, subscriptions, pricing structures, advertising programs, creator tools, APIs, integrations, user interfaces, algorithms, recommendation systems, artificial intelligence features, moderation systems, analytics tools, communication tools, availability, eligibility requirements, or other components of the Services. We may also impose limits on the use of certain features, restrict access to portions of the Services, discontinue support for certain functionality, introduce new requirements, or modify how marketplace activity, content, products, services, transactions, subscriptions, advertisements, rankings, recommendations, or other platform features operate. We are not obligated to maintain, support, update, continue, or preserve any specific feature, product, service, marketplace category, subscription, advertising program, creator tool, API, integration, or functionality for any particular period of time. Changes to the Services may affect content, products, services, subscriptions, integrations, marketplace activity, user experiences, workflows, business operations, compatibility, availability, or other aspects of platform usage. To the maximum extent permitted by applicable law, we shall not be liable for any losses, damages, disruptions, inconveniences, business impacts, or other consequences arising from changes to the Services. We may provide notice of certain significant changes where we determine such notice is appropriate or where required by applicable law, but we are generally not obligated to provide advance notice before modifying, restricting, suspending, replacing, or discontinuing features or functionality.
Changes to These Terms
We reserve the right to modify, amend, update, replace, supplement, or otherwise change these Terms at any time and in our sole discretion. Changes may be made to reflect modifications to the Services, marketplace operations, business practices, legal requirements, regulatory obligations, industry standards, security considerations, technological developments, or other operational needs. When we update these Terms, we may revise the effective date, post the updated version through the Services, provide notices within the platform, send email notifications, or use other communication methods that we determine are appropriate under the circumstances. Unless otherwise required by applicable law, updated Terms will become effective upon posting or upon the effective date specified in the updated Terms. Your continued access to or use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms to the maximum extent permitted by applicable law. If you do not agree to updated Terms, you must stop using the Services and discontinue access to any portions of the platform subject to the revised Terms. Where applicable law requires additional notice, consent, acknowledgment, or acceptance before certain changes become effective, we will take steps that we reasonably determine are necessary to comply with such requirements. Except as expressly modified by updated Terms, all remaining provisions of these Terms shall remain in full force and effect.

Assignment
You may not assign, transfer, delegate, sublicense, sell, pledge, encumber, or otherwise transfer any rights, obligations, accounts, licenses, permissions, benefits, or interests arising under these Terms without the prior written consent of The Rigid Project LLC. Any attempted assignment, transfer, delegation, or other disposition in violation of this section shall be null and void to the maximum extent permitted by applicable law. The Rigid Project LLC may assign, transfer, delegate, subcontract, sublicense, or otherwise transfer any rights, obligations, interests, assets, agreements, accounts, operations, or responsibilities arising under these Terms, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, financing transaction, corporate restructuring, sale of assets, reorganization, bankruptcy proceeding, affiliate transaction, or other business transfer. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors, permitted assigns, heirs, representatives, and legal successors. Nothing in these Terms shall be construed to create any rights in favor of any third party except where expressly stated otherwise in these Terms.
Severability
If any provision, section, subsection, sentence, clause, phrase, or portion of these Terms is determined by a court, arbitrator, governmental authority, or other tribunal of competent jurisdiction to be invalid, illegal, unenforceable, void, or otherwise ineffective, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions of these Terms shall remain in full force and effect. Any invalid, illegal, or unenforceable provision shall be deemed modified, limited, or severed only to the minimum extent necessary to make the provision enforceable while preserving, to the greatest extent possible, the original intent and purpose of the provision. The invalidity, illegality, unenforceability, or ineffectiveness of any provision shall not affect the validity, legality, enforceability, or effectiveness of any other provision of these Terms. If a provision cannot be modified or enforced in a manner consistent with applicable law, the provision shall be severed from these Terms, and the remainder of these Terms shall continue to be interpreted and enforced as though the severed provision had never been included.
Entire Agreement
These Terms, together with our Privacy Policy and any other policies, guidelines, marketplace rules, licensing terms, product-specific terms, subscription terms, advertising terms, custom order terms, payment terms, disclosures, notices, and other agreements expressly incorporated by reference, constitute the entire agreement between you and The Rigid Project LLC regarding the Services. These Terms supersede and replace all prior or contemporaneous understandings, agreements, negotiations, discussions, representations, communications, proposals, promises, commitments, warranties, and arrangements, whether written, oral, electronic, or otherwise, relating to the Services. No statement, representation, description, advertisement, marketing material, social media post, support communication, marketplace content, course material, documentation, presentation, demonstration, or other information shall modify these Terms unless expressly authorized by The Rigid Project LLC in a written agreement executed by an authorized representative. Any failure by The Rigid Project LLC to enforce any provision of these Terms shall not be deemed a waiver of that provision or of any other provision, nor shall any waiver be effective unless expressly made in writing by an authorized representative of The Rigid Project LLC. In the event of a conflict between these Terms and another agreement expressly incorporated into these Terms, the more specific agreement shall control with respect to the subject matter addressed by that agreement, unless otherwise stated. Except as expressly provided in these Terms, no party relies upon any representation, warranty, promise, commitment, or statement that is not expressly set forth in these Terms or in another applicable written agreement.
